The Cayman Islands and the British Virgin Islands (BVI) are two British Overseas Territories used as offshore jurisdictions, where a company pays no local tax on profits. The Cayman Islands are chosen primarily for investment funds and structures with institutional investors. The BVI is more often used for a holding company, a joint venture or a separate company for a deal (SPV) where fund infrastructure is unnecessary.

Taxes: similar on the islands, while the owner pays under their own country’s rules

The Cayman Islands Government states that there is no income tax, corporate profits tax, capital gains tax, inheritance tax or gift tax there. The BVI FSC states that these islands levy no corporate income tax or capital gains tax on companies.

The zero rate applies to the company itself. The owner pays taxes in their country of residence, and the offshore company’s profits are often taxed there under CFC rules even when no dividends are paid.

Both jurisdictions have adopted economic substance laws. In the Cayman Islands, the Economic Substance Act has been in force since January 1, 2019, and the regime is administered by the Department for International Tax Cooperation (DITC). The Virgin Islands have the Economic Substance (Companies and Limited Partnerships) Act. If a company’s income falls into the categories of these laws, it needs people, expenditure and management on the islands. The requirements are covered in the article on economic substance.

Funds: the main difference

Investment funds are the main industry of the Cayman Islands, and CIMA treats them as a separate supervisory sector. According to CIMA statistics as of September 30, 2026, 13,187 mutual funds and 18,360 private funds are registered on the islands. Fund managers, administrators and auditors have long worked with this jurisdiction, which is why institutional investors expect it.

In the Virgin Islands, funds are regulated by the BVI FSC under the Securities and Investment Business Act 2010 (SIBA). The law divides open-ended funds into public, professional and private funds; a fund counts as private if it has no more than 50 investors or the offer is made only on a private basis. Since 2019, closed-ended private investment funds have also been brought under regulation.

If several partners invest in one deal and do not offer interests to an outside circle of investors, a simple BVI company is usually enough for them. As soon as there is an offer of interests to investors with a redemption right, or management of other people’s money, fund regulation in both jurisdictions needs to be checked.

Holding company and SPV

For a holding company without outside investors, the BVI is more often the right fit. The company is registered by an agent, the return is kept by the agent, and beneficial ownership information and the registers of directors and members are filed through VIRRGIN. Details on the form, documents and timelines are on the BVI offshore company page.

A Cayman exempted company suits the holding company of an international group when investors, banks or a future buyer expect this particular jurisdiction. The law exempts such a company from keeping its register of members open to the public and from holding an annual meeting on the islands. Beneficial ownership information is still disclosed under the 2023 law. More details are on the Cayman Islands offshore company page.

Reporting and deadlines

BVI. The annual financial return is filed with the registered agent within 9 months after the end of the financial year; this is a requirement of section 98A of the BVI Business Companies Act. Late payment of the annual registry fee incurs a penalty: 10% of the fee if paid within two months after the deadline, and 50% later. On October 15, 2026, the regulator announced a new return form: returns for 2026 are filed on it, and agents accept them from September 2027.

Cayman Islands. Every year, the company files an annual return with the General Registry, with a declaration that it has operated mainly outside the islands. If the structure is registered as a fund, it also reports to CIMA.

The EU list and banks

Neither the Cayman Islands nor the BVI is on the EU list of non-cooperative jurisdictions of October 9, 2026. In Annex II, the Council of the EU recorded the Virgin Islands’ commitment to request and undergo, by February 15, 2027, an in-depth review by the Global Forum on exchange of information on request.

The company’s account is opened by a bank, broker or custodian based on its own risk assessment. Cayman funds usually work through administrators and custodians, while a bank asks a BVI holding company about the origin of capital and the group structure. We handle preparation for this review as part of the bank account for an offshore company service.

How to choose

  • A fund for professional investors: more often the Cayman Islands, given the infrastructure and market expectations.
  • A pool of several co-investors for one deal: more often a BVI SPV, if interests are not offered to outside investors.
  • A family group holding company: more often the BVI, if investors and the bank do not specifically expect the Cayman Islands.
  • A holding company for a future sale or IPO: we check which jurisdiction buyers and the stock exchange expect.

For a holding company on a smaller budget, the BVI is often compared with other islands: BVI or Belize and BVI or Seychelles. How much tax is withheld on dividends from subsidiaries is covered in the guide to an international holding company.
