A Cypriot Ltd (private company limited by shares) is a legal entity in an EU country with corporate practice of British origin. Since January 1, 2026, a tax reform has been in force in the country: the corporate income tax rate rose to 15%, and the contribution on actual dividends fell to 5%. In Russian-speaking practice, Cyprus is still called an offshore jurisdiction out of habit, although it is a fully fledged EU tax jurisdiction where the benefits depend on the structure of income and the place of management.
What the reform changed
The government lists the following changes for legal entities:
| Parameter | Before the reform | From 2026 |
|---|---|---|
| Corporate income tax | 12.5% | 15% |
| Special Defence Contribution on actual dividends | 17% | 5% |
| Deemed dividend distribution | applied | abolished |
| Carryforward of tax losses | 5 years | 7 years |
| Stamp duty | charged | abolished |
In addition, the thresholds above which a company must keep a Cypriot transfer pricing file for controlled transactions have been raised: €10 million for financial transactions, €5 million for the purchase and sale of goods and €2.5 million for other transactions.
For existing structures, the transitional rules matter: profit earned before 2026 may be taxed under the previous rules when distributed. Whether the contribution on dividends applies also depends on the recipient's status. These questions are checked for the specific structure before a payout.
Reporting and tax deadlines
According to the government portal Business in Cyprus:
- the company's annual tax return (form T.D.4) is filed within 15 months after the end of the tax year;
- self-assessed tax (form I.R.158A) is paid by August 1 of the following year;
- VAT registration is mandatory if taxable supplies over the past 12 months have exceeded, or over the next 30 days will exceed, €15,600;
- registration with the tax authorities is done only online through the TAX FOR ALL (TFA) portal.
Company registration in Cyprus and all subsequent changes go through the Registrar of Companies (Department of Registrar of Companies and Intellectual Property): the articles of association, directors, company secretary and registered office are registered there.
Place of management and substance
The tax advantages of a Cypriot structure work when management is genuinely carried out in Cyprus: the directors make decisions on the island, and there is an office and expenses that match the business. If management is carried out entirely remotely from another country, that country's tax authorities may treat the company as their resident. We cover how presence is assessed in our articles on economic substance and on a company's tax residency.
Who Cyprus suits
- A holding company for foreign subsidiaries with a clear commercial purpose: see international holding company.
- A group of service companies that needs an EU jurisdiction and a local team.
- Holding intellectual property, if there are real functions for developing it on the island.
For a digital business with a distributed team, Cyprus is often compared with Estonia: see Estonia vs Cyprus.
Banking and KYC
The bank looks for a link between the business and real economic activity, and for proof of the source of funds. A multi-tier holding chain will require a chart of the ultimate owners and documents for each entity. For services, contracts, a website and proof of work performed will be useful; for trading, supplier documents, the route of the goods and delivery terms.
Two-year budget
Count separately: registration and the articles, the company secretary and registered office, local directors or an office if they are needed for management on the island, accounting and audit of the financial statements, tax returns and VAT, a transfer pricing file if the thresholds are exceeded, and banking services.
Example
A founder owns two service companies in different countries and is considering a Cypriot holding company. Before registration, you need to calculate withholding taxes on dividends from the countries where the subsidiaries operate, the tax in Cyprus at the new rates, the owner's own taxes on receiving dividends and the cost of management on the island.
For comparison, an Estonian OÜ and a company in Georgia pay profit tax only when profit is distributed. A low-tax jurisdiction with a real office outside Europe is covered in the guide to a UAE Free Zone company.
Offshora will compare a Cypriot structure with the alternatives in terms of taxes and maintenance costs. Send us the owners' country of residence, the type of business, the clients' geography and the expected payments. We handle registration and ongoing support under our company registration and maintenance program.
Tell us about your task, and we will propose a jurisdiction, the scope of services and the order of work.
