Why a Business Needs a Foreign Company

Offshore advantages in 2026: when a foreign company helps a business, which benefits are real and where they end.

Practical guide

The advantages of an offshore company work when a foreign structure solves a specific business task: bringing together partners from different countries, signing a contract with a foreign client, attracting an investor or separating assets from operating risks. Zero tax in the country of registration is just one line in this calculation, and in 2026 it is far from the main one. Below are five real advantages of an offshore company and the limits beyond which they stop working. The question “which offshore jurisdictions are the most profitable” only makes sense once the task is clear.

When a foreign structure is justified

  • the business has partners from several countries and needs a neutral platform for joint ownership;
  • a foreign investor is only prepared to invest through a legal system they understand;
  • the business sells services or goods to clients abroad and invoices in their currency;
  • you need to hold stakes in several operating companies, intellectual property or real estate abroad;
  • the owner plans to sell the business or raise a funding round and wants to set up the structure in advance.

Advantage 1. Neutral law that investors understand

The corporate law of the British Virgin Islands and the Cayman Islands is built on the English common law system, and the final court of appeal for these territories is the Privy Council in London. Investors and banks are familiar with the documents involved: articles, shareholders’ agreement, options, exit procedures. That is why a holding company in the BVI or the Cayman Islands is often chosen for joint ventures and raising capital.

Advantage 2. Tax neutrality

In the BVI, legal entities pay no corporate income tax or capital gains tax, as confirmed by the BVI Financial Services Commission. The Cayman Islands have no taxes on income, corporate profits, capital gains, inheritance or real estate. Hong Kong taxes profits from Hong Kong sources: the first HK$2 million of a company’s profits at 8.25% and the rest at 16.5%. Since 2023, certain passive foreign income of companies in multinational groups has been taxed under the FSIE regime if they have no economic substance in Hong Kong. Under Article 694 of its Tax Code, Panama taxes income earned in its territory. Details are on the Hong Kong offshore company and Panama offshore company pages.

Neutrality means that no tax is added in the country of registration. The taxes of the owner and of the group’s operating companies are determined by the law of the countries where they are located; more on this below. This is exactly where the advantages of an offshore company are most often overestimated.

Advantage 3. International contracts and payments

A foreign client finds it easier to work with a counterparty that invoices in the client’s currency and signs a contract under a familiar law. A multi-currency account abroad removes some of the questions about the owner’s country’s currency restrictions and about international transfer times. How payment routes work is explained in the article currency payments for a foreign company.

Advantage 4. Separation of risks and assets

A separate legal entity is liable for its obligations with its own property. A holding company above the operating companies separates the debts of one line of business from the assets of another. The limit here is strict: courts set aside transactions made to the detriment of creditors. In the United Kingdom, this is expressly set out in section 423 of the Insolvency Act 1986, and most countries have similar rules. How to build protection lawfully is described in the article asset protection through an offshore company.

Advantage 5. Convenient share deals

Selling or transferring a stake in a holding company is often simpler than re-registering each company in the group separately: the owner of one holding company changes, while the contracts and licenses of the operating companies stay in place. The tax consequences of such a deal depend on the countries of the seller and the assets, so the structure is checked before the sale. More in the article international holding company.

Where the advantages end

  • The owner’s taxes. Controlled foreign company (CFC) rules allow the owner’s country to tax undistributed profits. In Ukraine, they are set out in Article 39-2 of the Tax Code. The topic is covered in the article CFC rules and the offshore company.
  • Place of management. A structure that is in fact managed from the owner’s country may become tax resident there.
  • Economic substance. In the BVI and the Cayman Islands, entities carrying on a “relevant activity” must demonstrate substance: management, staff, expenditure.
  • Global minimum tax. Groups with revenue of €750 million or more are subject to the Pillar Two rules: an effective rate below 15% is topped up. Small and medium-sized businesses fall outside them.
  • Banks and lists. Since 29 January 2026, the BVI has been on the EU list of high-risk countries for money laundering, and EU banks check such structures more closely. The EU tax list of 9 October 2026 includes eight jurisdictions, among them Anguilla, the Turks and Caicos Islands and Vanuatu.
  • Costs. Annual fees, the agent, reporting and banking. How to calculate a two-year budget is shown in the article what an offshore company costs.

How to tell whether it pays off for you

Answer four questions. What task does the structure solve, and can it be solved another way? Where do the owners live, and what CFC rules apply to them? Where will the clients, suppliers and bank be? How much does ownership cost over two years compared with the benefit? If the answers form a clear picture, choose a country using the comparison offshore or an ordinary foreign company and order offshore company formation and maintenance.

Frequently asked questions

Which advantages of an offshore company still apply in 2026?

Neutral law for joint ownership and investment, no tax in the country of registration in a number of jurisdictions, convenient international contracts and payments, separation of risks and simpler share deals.

Does a BVI company pay corporate income tax?

No. According to the BVI Financial Services Commission, legal entities there pay no corporate income tax or capital gains tax. The owner’s taxes are determined by their country of residence, including CFC rules.

Is Hong Kong an offshore jurisdiction?

Hong Kong applies a territorial system: profits from Hong Kong sources are taxed, the first HK$2 million at 8.25% and the rest at 16.5%. In terms of its tax design, it is a low-tax jurisdiction with a fully fledged tax system.

Who does a foreign structure not pay off for?

A business that operates in one country with local clients: the costs of maintenance, reporting and banking will exceed the benefit, and taxes will arise anyway at the place of management and under CFC rules.

Can assets be protected through an offshore company?

A separate legal entity separates the risks of different lines of business. Courts set aside transfers of assets made to the detriment of creditors, so the structure is built in advance and properly documented.
