Shelf Offshore Companies with an Existing Incorporation Date

A shelf offshore company is a company registered in advance in an offshore jurisdiction and never used for business. The buyer receives it with an incorporation date already assigned and its corporate documents, and the agent transfers the shares and directorships to the new owner. Before the transfer, the agent checks the buyer (KYC), and information on the new beneficial owners is entered in the registers under the jurisdiction’s rules.

What a shelf company is

An agent incorporates a shelf company in advance, in its own name or that of a related entity, and keeps it “on the shelf”: no transactions, contracts, employees or bank accounts. Its corporate documents, registers and annual fees are kept in good order until a buyer comes along. On a sale, the agent checks the new owner, transfers the shares and directorships to them and hands over the corporate kit.

The buyer gets three things: an incorporation date in the past, a clean history with no activity, and time saved on choosing a name and registering. KYC checks, account opening and the owner’s taxes work the same way as for a new company, so a shelf company is worth buying only for a specific reason.

When a shelf company makes sense

  • a contract, tender or partner requires a legal entity with an earlier incorporation date;
  • the structure is needed for a specific deal, and cutting the time spent on name selection and registration matters;
  • the agent already has a suitable structure in the required jurisdiction.

If the incorporation date is irrelevant, a new registration under your chosen name is usually cleaner and more predictable. We will compare both options as part of the offshore company formation service.

What is handed over on purchase

  • the certificate of incorporation and the articles;
  • the registers of shareholders and directors with transfer entries;
  • resolutions on the resignation of the former directors and the appointment of new ones;
  • the instrument of transfer for the shares and a new share certificate;
  • confirmation that annual fees have been paid and annual returns filed;
  • a recent certificate of good standing from the registry and a certificate of incumbency from the agent, where the jurisdiction issues them.

For a bank or a counterparty abroad, the documents can be apostilled if needed. The buyer also inherits the company’s status in the register, so we check its history before payment. For companies with several years of history and real operations, there is a separate service: aged offshore companies.

How to check a shelf company’s history

How far the check goes depends on what is visible about the company in public sources. Where the register is public, we do part of the work ourselves; the agent and the seller confirm the rest.

  • United Kingdom. The Companies House register shows the filing history, current and former officers, people with significant control (PSC) and registered charges. A charge securing a company debt is registered within 21 days of its creation, so a loan pledge is usually visible on the register.
  • Hong Kong. We obtain an extract and the filed documents from the Companies Registry: annual returns (NAR1) and ND2A forms on the appointment and resignation of directors and the company secretary.
  • BVI. Status is confirmed by a certificate of good standing from the Registrar of Corporate Affairs, and the directors and shareholders by a certificate of incumbency from the registered agent. We check with the agent that the Annual Financial Return was filed for past periods.
  • In every jurisdiction. We screen the former directors and shareholders against sanctions lists, ask the seller to confirm that the company had no accounts, transactions or contracts, and secure this with warranties in the share purchase agreement.

What we check before the purchase

  • the company’s status in the register and the absence of outstanding fees;
  • the annual returns filed: in the BVI, the Annual Financial Return to the registered agent within 9 months after the end of the financial year; in Hong Kong, the Annual Return (NAR1) within 42 days after the incorporation anniversary; in the United Kingdom, the confirmation statement and annual accounts;
  • the absence of transactions, contracts, debts and litigation;
  • that the former owners and directors are clear of sanctions lists;
  • the procedure for updating beneficial ownership information after the deal.

Shelf offshore company with a bank account: what actually passes to the buyer

Searches for “buy a shelf offshore company with a bank account” and “ready-made offshore companies with an account” come up more often than others. The account is opened in the company’s name, and the bank is entitled to check the new owner again. The Hong Kong regulator, the HKMA, lists what banks usually request from a corporate customer: registration documents, the addresses of the registered office and the place of business, information on beneficial owners and the ownership structure, the purpose of the account, the expected transactions and the nature of the business, and information on the persons acting on its behalf. Depending on the risk assessment, the bank may ask for other documents too.

A change of owner also changes the account signatories, and the bank checks the new directors and beneficial owner under its own rules. As a result, the account may be kept, restricted or closed at the bank’s discretion. We contact the bank in advance through the current owner, prepare the new beneficial owner’s package and only then recommend the deal. If an account is open, we ask the seller for statements covering its whole life: an empty account with no transactions confirms there was no activity.

We do not assist with handing over account access behind the bank’s back: the bank is entitled to close such an account. We handle bank preparation as part of the bank account for an offshore company service, and the document requirements are covered in the guide KYC and KYB for a company.

Where to buy a shelf offshore company and what changes on transfer

JurisdictionWhat matters when buying
BVIThe transfer is handled by the registered agent; we check that the Annual Financial Return was filed for past periods. Information on the new beneficial owners is filed with the registry through the VIRRGIN system under the beneficial ownership regulations in force since 2 January 2025.
Hong KongWe check NAR1 filings; when filed on time, the registry fee is HK$105. A change of directors or company secretary is registered on form ND2A within 15 days. A transfer of shares in a Hong Kong company attracts stamp duty: since 17 November 2023, 0.1% each from the buyer and the seller, on the price or the market value of the shares, whichever is higher. The company keeps its significant controllers register in Hong Kong.
United Kingdom (UK Ltd)Changes to people with significant control (PSC) are reported within 14 days after confirmation; the new director goes through Companies House identity verification. A share transfer on a stock transfer form for more than £1,000 attracts stamp duty of 0.5%.
NevisThe agent keeps beneficial ownership information; we check payment of the $300 annual fee. Late payment brings a penalty of $200 in the first six months and $400 after that.
Cayman IslandsBeneficial owners are disclosed under the Beneficial Ownership Transparency Act, 2023.
AndorraA share deal is executed before an Andorran notary; for a foreign buyer, we check whether foreign investment authorization is required.
Panama, Belize, SingaporeWe confirm transfer and reporting requirements with the registry as of the date of the deal. In Singapore, the company must still have a director ordinarily resident in the country after the purchase.

UAE free zones (AFZA, RAK and others) are covered in the article a UAE free zone company. Anguilla and the Turks and Caicos Islands are on the EU list of non-cooperative jurisdictions (Annex I to the EU Council conclusions of 9 October 2026). A European bank or counterparty will see this during its checks, so we do not select companies there for business with the EU. The status of the other countries is collected in the table on the offshore jurisdictions page.

How a shelf company is transferred

  1. Task. You name the jurisdiction, the incorporation date you need and whether you need an account.
  2. Selection. We look for available options from agents and compare them with a new registration on timing and cost.
  3. Check. We review the history of the chosen company and agree a share purchase agreement with the seller’s warranties.
  4. Buyer KYC. Passport, proof of address, a description of the business and the source of funds for the registered agent.
  5. Corporate resolutions. Resignation of the former directors, appointment of new ones, an instrument of transfer for the shares and a new share certificate.
  6. Registering the changes. Information on the directors and beneficial owners is filed with the registry within the jurisdiction’s deadlines, and stamp duty is paid where it applies.
  7. Handover and maintenance. You receive the corporate kit and a compliance calendar, and we take the company on for maintenance.

Risks of a shelf company

  • hidden liabilities: contracts, powers of attorney or guarantees signed by former directors;
  • unpaid fees: in the BVI, a late annual fee adds 10% in the first two months and 50% after that, and the debt passes with the company;
  • a past strike-off for non-payment or missed filings: we check for this history in the register extracts;
  • an incorporation date on its own does not prove a track record: the bank and counterparties can see there were no transactions;
  • we do not backdate contracts or resolutions to before the purchase: this creates risk for the owner and for the deal.

How much a shelf offshore company costs

The price depends on the jurisdiction, the company’s incorporation date and the scope of the transfer. The estimate shows separately the price of the company itself, the transfer, government fees and next year’s maintenance. We will calculate the amount for your task once the options are selected; the full two-year cost of owning a company is broken down in the article what an offshore company costs.

Frequently asked questions

What is a shelf offshore company?

It is a company that an agent incorporated in advance in an offshore jurisdiction and kept without activity, accounts or contracts. The buyer receives it with an incorporation date in the past, and the agent transfers the shares and directorships to the new owner after the KYC check.

Can I buy a shelf offshore company with a bank account?

You can buy a company that already has an account, but the bank is entitled to check the new owner again and decides for itself whether to keep or close the account. Before the deal, we prepare the new beneficial owner’s package and clarify the bank’s position.

How does a shelf offshore company differ from registering a new company?

A shelf company is already registered and has an incorporation date; it is transferred to the new owner. A new one is created from scratch under your name and structure. If the date is unimportant, a new registration is usually easier for the bank to check.

What should I check in a shelf company before buying it?

Its status in the register, payment of fees, filing of annual returns (for example, NAR1 in Hong Kong or the Annual Financial Return in the BVI), the absence of transactions and debts, and the former owners and directors. We carry out this check before payment.

In which jurisdiction should I buy a shelf offshore company?

The choice depends on the task: for a holding company, people often look at the BVI; for trade with Asia, Hong Kong; for work with European clients, the UK. A comparison by jurisdiction is on the “Offshore jurisdictions” page, and we will make a selection for your task on request.

How is an offshore company transferred to a new owner?

The buyer goes through KYC with the registered agent, the former directors resign, new ones are appointed by resolution, and the shares pass under an instrument of transfer. The changes are then registered: in Hong Kong, a change of directors is filed on form ND2A within 15 days; in the UK, PSC information within 14 days.

Does the new owner of a shelf company have to be disclosed?

Yes. The agent checks the buyer, and beneficial ownership information is updated under the jurisdiction’s rules: in the United Kingdom, within 14 days after the change is confirmed; in the Cayman Islands, under the beneficial ownership transparency law of 2023.
