Annual maintenance of an offshore company is a set of mandatory actions without which the company loses its good standing with the registry: paying fees, filing returns with the agent or the registry, filing tax forms and updating beneficial ownership information. These obligations also apply to a company with no turnover. A missed deadline leads to penalties, problems with the bank and, in some countries, the company being struck off the register.

Calendar by jurisdiction

Jurisdiction What is filed and when Consequences of late filing
BVI annual registry fee; annual financial return to the agent within 9 months after the end of the financial year; updating information on beneficial owners, directors and members through VIRRGIN penalty of 10% of the fee in the first two months of delay, 50% after that; the agent reports an unfiled return to the Registrar
Cayman Islands annual return to the General Registry with a declaration on operating outside the islands; Economic Substance Act requirements if the activity falls within its categories; up-to-date beneficial ownership information under the rules of the registry and the DITC

Where to start

Right after registration, put all the dates into one calendar: the financial year, renewal of the agent and address, corporate filings, tax forms, beneficial ownership updates, licenses and director information. Each line gets an owner, a deadline and an internal deadline one month earlier. Keep filing confirmations and the agent's letters in the corporate folder.

The agent helps with documents, but this leaves the requirements of the registry, tax law, the bank and clients unchanged.

What is required even with zero revenue

A company with no operations still pays annual fees, files the returns its jurisdiction requires and keeps beneficial ownership information up to date. A BVI company files an annual financial return with its agent; only the categories listed in the law are exempt, such as listed companies and companies supervised by a financial regulator. A UK Ltd with no turnover files a confirmation statement and annual accounts. A Hong Kong private company files NAR1 every year.

On October 15, 2026, the BVI FSC announced a new form of the annual financial return. Returns for 2026 are filed on it, agents accept them from September 2027, and more data on assets, revenue and expenses will be required.

Which documents to keep at hand

Put together a single folder: constitutional documents, corporate resolutions, proof of addresses, registration details, an ownership chart down to individuals, information on the owners' residency, bank statements, contracts and invoices. The bank will need the same documents during a periodic KYC review.

Maintenance budget

The annual budget includes government fees, agent and address services, accounting, preparation of returns, obtaining certificates of good standing, the bank's periodic KYC review and updating registers. Plan it for at least 24 months and keep one-off and contingent costs separate: certifications, translations, changes of ownership, liquidation. For a detailed model, see our article on the total cost of owning a company.

Example: a holding company that was "dormant" for two years

A hypothetical example. A BVI holding company had no operations for two years, and the owner did not keep track of fees and returns. When a buyer for a stake appeared, they requested a certificate of good standing, corporate resolutions and confirmation of continuous compliance. Before signing the deal, the owner had to pay the fees with penalties, file the missed returns and update the information in the register. If the calendar had been kept from the first year, the costs would have been limited to the regular fees.

Mistakes and risks

A lack of account activity does not cancel any obligations. Keeping all passwords and documents only with the agent is risky. Beneficial ownership disclosure rules and return forms change, so for each requirement record the date it was checked and the official source.

Limit your dependence on a single intermediary. The owner should keep copies of the corporate documents, access to email and filings, the right to obtain information from the agent and a clear procedure for changing the service provider.

What to ask a provider

Ask for the service to be described item by item: mandatory government payments, the agent's work, additional costs, timelines, restrictions on activities, and the terms of refusal and refund. Offshora handles the annual renewal of an offshore company, communication with the agent, filing returns and updating information under the offshore company registration and maintenance service. For details on individual countries, see the pages BVI offshore company and company in England.
