The cost of an offshore or foreign company is the sum of all payments over the first two years: registration, annual fees, the agent or company secretary, reporting, accounting, banking and a reserve for changes. An advertised “turnkey company” price usually covers only registration, sometimes even without the government fee. It is convenient to compare offers using a single model that separates one-off and recurring costs.
Two budgets instead of one price
Split the costs into setup and ongoing. Setup is everything you need to pay for the company to come into legal existence and be ready for its first contracts. Ongoing covers the annual payments for its existence and operation.
If an intermediary quotes an “opening cost”, ask them to itemize each included service and the price of the repeat payment after 12 months. A company without an account, accounting or the required license is not yet ready to operate, even if the certificate has already been issued.
Run two scenarios: the project earned nothing, and the project reached its planned revenue. This is especially important for startups that spend their first year on the product and finding clients.
Line 1. Government fees
The first part of the cost of registering an offshore company is the registry fee for creating the company, followed by annual fees to keep it in existence. The amount depends on the country, the legal form and sometimes on the capital or the filing method. The government fee and the agent’s commission are separate lines in the estimate.
Benchmarks based on official fee schedules as of October 23, 2026:
| Jurisdiction | Registration | Annually |
|---|---|---|
| United Kingdom (UK Ltd) | £100 online, £124 on paper | confirmation statement: £50 online |
| Hong Kong | HK$1,545 for electronic filing, HK$1,720 on paper, plus the business registration fee | NAR1 within 42 days: HK$105 |
| Singapore | S$15 for the name and S$300 for registration | annual return to ACRA: S$60 |
| Nevis (IBC and LLC) | USD 300 for the constitutional documents, plus USD 20 for the certificate for an IBC | renewal: USD 300, late payment USD 200 or USD 400 |
| Delaware (LLC) | under the Division of Corporations fee schedule | $400 tax by June 1 |
| Wyoming (LLC) | $100 | from $60 under the license tax formula |
In the estimate, note the source of each figure and the date it was checked, so that last year’s fee does not accidentally end up in today’s calculation. For the BVI, the Cayman Islands and Panama, we calculate the fees for a specific company and agent.
Line 2. Agent, address, director, company secretary
This is the line where jurisdictions differ the most. In the BVI, registration and maintenance are handled by a local registered agent. Singapore requires a director ordinarily resident in the country and a company secretary appointed within six months after incorporation. In Hong Kong, a registered office and a company secretary are mandatory: an individual ordinarily resident in Hong Kong or a legal entity with an office there. A UK Ltd needs a physical registered address in the United Kingdom.
The registered address is used for official mail; having one does not give the company an office with staff. If the package includes a nominee director, find out their powers, liability, banking restrictions and the procedure for terminating the agreement. A structure that is actually managed from another country takes on that country’s tax risks regardless of the line item in the price list.
These services may be charged annually, monthly or included only for the first period. Ask for the price of each following year without the promotional discount. We provide a registered address and related services under the virtual office service.
Line 3. Accounting, reporting and audit
Even without public financial statements, a company may have obligations to keep records, provide financial information to the agent and file corporate and tax forms. A BVI Business Company files an annual financial return with its agent within 9 months after the end of its financial year. A Panamanian company with no operations in Panama provides its accounting records for the previous year to the agent by April 30. A UK Ltd files accounts with Companies House and a return with HMRC.
The price of accounting is calculated by volume: the number of transactions per month, bank accounts, currencies, employees, loans and related-party transactions. A trading company’s accounting is more complex than that of a holding company with two dividends a year. Check separately whether an audit is required.
Line 4. Bank, EMI and acquiring
Include KYB preparation, certification of documents, support with the application, a possible minimum balance, monthly fees, incoming and outgoing transfers and currency conversion. For an online store, add card acquiring, a rolling reserve, refunds and chargebacks.
The intermediary is responsible for preparing the documents, and the decision is made by the bank. Agree in advance which part of the paid service counts as delivered if the application is rejected, and whether there is a second suitable provider. More details are in the guide on a bank account for a foreign company and on the bank account for an offshore company service page.
Line 5. Licenses, office, visas and employees
In the UAE, the cost depends on the free zone, the permitted activity, the type of premises and the visa package. In Singapore, a real regional team means hiring and renting premises. In the EU, certain operations require VAT registration, employer registration and licenses.
Divide this line into three parts: “mandatory from day one”, “needed at a certain turnover or when hiring” and “planned for the future”. For financial, crypto or payment activities, first find out whether a license is required: a regular LLC or an offshore company does not replace it.
The two-year formula
TCO24 = Setup + Year 1 recurring + Year 2 recurring + Banking/PSP + Accounting/Tax + Required substance + Risk reserve + Exit reserve.
For each item, record the currency, payment date, provider, whether it is mandatory and the contract. Keep paid-up capital separate from non-recoverable costs: the money stays with the company, although it may not be freely available for spending.
It is also useful to estimate TCO24 as a percentage of expected revenue and margin. For a freelancer with a small turnover, accounting may eat up a noticeable part of the profit; for a large holding company, legal reliability matters more than the size of the registration fee.
A sample comparative estimate
An entrepreneur is choosing between a UK Ltd, a BVI company and a Singapore Pte. Ltd. Plugging in service prices from the internet without the inputs makes no sense, so the structure of the estimate is filled in first:
| Item | UK Ltd | BVI | Singapore |
|---|---|---|---|
| Registration | £100 online at Companies House | registry fee and agent services | S$315 at ACRA plus the provider |
| Address | registered office in the United Kingdom | registered agent’s address | registered office in Singapore |
| Management | director, identity verification at Companies House | director, beneficial ownership information in VIRRGIN | at least one director ordinarily resident in Singapore |
| Company secretary | depending on the structure | registers of directors and members are filed through the agent | mandatory, appointed within 6 months |
| Reporting | confirmation statement, accounts, Company Tax Return | annual financial return to the agent | annual return to ACRA, tax reporting to IRAS |
| Bank | separate KYB check | separate KYB check | separate KYB check |
Then add PSP availability for your industry, the owner’s taxes and the cost of payouts. The final amounts appear after the structure is chosen and verifiable quotes are received.
The costs most often forgotten
The first is changing the agent and obtaining the documents if the relationship with the intermediary does not work out. The second is notarizations and apostilles for the bank or a deal. The third is changes of shareholders, address and directors. The fourth is restoring the accounting for past periods. The fifth is late penalties: in the BVI, late payment of the annual fee incurs 10% of the amount in the first two months and 50% after that; in Nevis, USD 200 or USD 400. The sixth is closing the company; a voluntary strike-off of a UK company costs £13 online.
Build the reserve around specific events: one change of signatory, two additional requests from the bank, registration for indirect taxes. Named risks are easier to discuss with the provider and to limit in the contract.
What a proposal should look like
A good proposal lists government payments, the provider’s work, third-party services and optional services separately. Each line has a currency, an amount, a validity period and a payment condition. For banking support, it describes what counts as the result.
Annual deadlines and fees by country are in annual maintenance, and accounting and audit in when bookkeeping and audit are required. For a ready-made offshore company, the estimate also includes a check of the company's history and the transfer of shares and directors to the new owner.
